1. Acceptance of Terms

By accessing or using the services provided by Apex Selling Hub ("Company," "we," "our," or "us"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, you may not access or use our services. These Terms apply to all visitors, users, and others who access or use our services, including but not limited to e-commerce consulting, marketplace setup, store management, and related services.

2. Description of Services

Apex Selling Hub provides e-commerce consulting and management services, including but not limited to: • Seller account setup on various marketplaces (eBay, Amazon, Walmart, TikTok Shop) • Product research and sourcing assistance • Store management and optimization • Listing creation and optimization • Order fulfillment support • Business scaling strategies • Customer service management The specific services provided will be outlined in individual service agreements between the Company and the client.

3. Eligibility

To use our services, you must: • Be at least 18 years of age • Have the legal capacity to enter into binding contracts • Provide accurate and complete information during registration • Not be prohibited from using our services under applicable laws By using our services, you represent and warrant that you meet all eligibility requirements.

4. Client Responsibilities

As a client of Apex Selling Hub, you agree to: • Provide accurate, current, and complete information as requested • Maintain the confidentiality of any account credentials • Promptly notify us of any unauthorized access to your accounts • Comply with all applicable marketplace policies and guidelines • Not engage in any fraudulent, illegal, or unethical business practices • Provide timely responses to communications from our team • Make payments as agreed in service agreements You acknowledge that you are solely responsible for the content of your listings and the products you sell.

5. Payment Terms

Payment terms are specified in individual service agreements. General payment policies include: • Payments are due as specified in your service agreement • Late payments may result in service suspension • All fees are non-refundable unless otherwise stated • We reserve the right to modify pricing with advance notice • Currency conversions, if applicable, are subject to current exchange rates Failure to make timely payments may result in suspension or termination of services.

6. Intellectual Property

All intellectual property rights in our services, including but not limited to trademarks, logos, software, and content, remain the property of Apex Selling Hub or its licensors. Clients retain ownership of their product images, descriptions, and other content they provide. By providing content to us, you grant us a limited license to use such content solely for the purpose of providing our services. You may not copy, modify, distribute, or create derivative works from our proprietary materials without our express written consent.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our business relationship. This includes: • Business strategies and plans • Financial information • Customer data • Product sourcing information • Supplier details • Pricing structures This obligation of confidentiality survives the termination of any service agreement.

8. Limitation of Liability

To the maximum extent permitted by law, Apex Selling Hub shall not be liable for: • Any indirect, incidental, special, consequential, or punitive damages • Loss of profits, revenue, data, or business opportunities • Actions or decisions of third-party marketplaces • Account suspensions or restrictions imposed by marketplaces • Changes to marketplace policies or algorithms • Supply chain disruptions or supplier issues Our total liability shall not exceed the fees paid by you for the services in question during the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee: • Specific sales results or revenue figures • Marketplace account approval or continued access • Product ranking or visibility • Supplier reliability or product quality • Uninterrupted or error-free service E-commerce success depends on many factors beyond our control, and we make no guarantees about specific outcomes.

10. Termination

Either party may terminate the service agreement: • With written notice as specified in the service agreement • Immediately upon material breach by the other party • Immediately if required by law or marketplace policy Upon termination: • All outstanding fees become immediately due • We will provide reasonable assistance for transition • Confidentiality obligations continue to apply • Neither party shall be liable for termination-related damages when termination is in accordance with these Terms

11. Indemnification

You agree to indemnify, defend, and hold harmless Apex Selling Hub, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from: • Your use of our services • Your violation of these Terms • Your violation of any applicable law or marketplace policy • Your products, listings, or business practices • Any third-party claims related to your business activities

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless otherwise agreed in writing.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. We will make reasonable efforts to notify clients of material changes. Your continued use of our services after any modifications constitutes acceptance of the updated Terms.
